The topic of this dissertation is based on corporate governance of China; there is a specific analysis on China’s list companies of stock market and the general problems of the system of corporate governance in China now. The development of globalization economy is the result of improvement of corporate governance. It could not give an exactly definition of corporate governance for it the understanding of the corporate governance may be varied by the people who are from different fields. But it could be narrowly summarized as how to set up the relationship between directors managers and shareholders; and how the shareholders’ wealth could be maximized through the excellent corporate governance system. based on the fundamental corporate governance theory I do a series investigation on the eva luation of the corporate governance for Chinese listed company. Then we focus on the analysis the influence from the reformation of the re-distribution share capital holdings by shareholders. We found that the reformation did bring a great effect on many aspects of the corporate governance such as shareholders and managers financial behavior monitoring system and capital market operations. Moreover this reformation did help the manager to align their interest with the shareholders and make the managers work more hard on the shareholders total wealth maximization. Finally the general corporate governance problem was been discussed and how the problems were been ameliorated in Chinese listed companies’ corporate governance was also be fully indicated.
